Business Transactions
Our commercial transaction practice focuses on business relationships among customers, suppliers, manufacturers, strategic partners, financiers and other key constituents. Our sophisticated understanding of the legal issues and business implications arising in these complex relationships enhances our ability to address problems proactively, manage risk and react quickly and effectively to changing, often crisis-driven situations. We represent clients on matters governed by the Uniform Commercial Code and related to complex purchase and sale agreements, financing agreements, the creation and perfection of security interests, lease agreements, development agreements and financing agreements. We regularly help clients negotiate and draft terms and conditions of purchase and sale, distribution agreements, warehousing agreements, equipment leasing agreements, management agreements and outsourcing agreements. We have represented private and publicly traded companies with many complex legal transactions and can distill the most complicated transaction into core components that our clients can understand and make work.
Limited Liability Companies
Setting up and handling family limited partnerships and limited liability companies (a way to isolate potential liability with respect to certain assets, make dispositions of fractional interests to a younger generation, allow continued management and control of assets during the client’s lifetime and provide for continued family ownership and management of the assets) and tax-exempt charitable family foundations (to make lifetime and testamentary deductible charitable bequests and establish a charitable family legacy that can be managed by future generations).

Wrongful Termination
Should a dental hygienist who was fired by her boss for being irresistibly attractive have a case for wrongful termination? What about an employee who reported illegal business practices and was fired just days later?
Employment Discrimination
While a wrongful termination case is difficult to prove, it is possible and can entitle an employee to damages. Take Paul Blakeslee for example, an employee of Shaw Environment and Infrastructure. In 2013, a federal jury awarded $3.5 million to Blakeslee after he reported that his regional manager was conducting illegal business practices. His manager fired him just days after he sent his report to the company’s CEO, claiming that his position was being eliminated to save money. The company investigated Blakeslee’s claims and fired the regional manager. But Shaw refused to bring Blakeslee back to work, so he sued the company for age discrimination and retaliation. In March 2013, a jury awarded Blakeslee $3.5 million in damages, saying he had been fired in part because of his age and in retaliation for his report.
