Business Disputes
Business law services include sale of a business, preparation of contracts and related instruments such as promissory notes, security agreements, financing statements, etc. Again, tax planning is referred out.
Business Transactions
The primary focus of practice is oil, gas and mineral law including oil and gas leases, title opinions, operating agreements, farmouts, participation and development agreements, division orders, sales and acquisitions of leases and development prospects, regulatory compliance, and litigation. Oil & gas practice extends to formation of business entities such as partnerships, corporations, small business (Sub-S) corporations, limited liability companies, limited partnerships, and limited liability partnerships. commercial transactions and contract negotiations. The practice previously included wills and probate, domestic relations, criminal law, municipal court, and juvenile court; however, over time, it became limited almost exclusively to oil, gas and mineral law. Litigation experience includes jury trials in the following Kansas counties: Allen, Chautauqua, Douglas, Franklin, Jefferson, and Pratt; and bench trials in Anderson, Bourbon, Butler, Coffee, Crawford, Greenwood, Johnson, Labette, Leavenworth, Miami, Montgomery, Neosho, Osage, Shawnee, Wilson, and Woodson; as wells as practice before the United States District Court for the District of Kansas, the Kansas Court of Appeals, and the Kansas Supreme Court. Administrative law practice has included proceedings before the Kansas Corporation Commission, Kansas Board of Tax Appeals, and Kansas Department of Human Resources.
Limited Liability Companies
This area of practice includes formation of corporations, partnerships, limited partnerships, limited liability companies, and limited liability partnerships; and various matters subsequent to organization. I remind clients when they are due to hold annual meetings, and prepare minutes and resolutions. I limit this area of practice to what I would call small businesses, and I limit it to non-tax matters. If there is tax planning to be done, I refer it to tax attorney or CPA. When there are buy-outs, mergers, dissolutions, etc., there are inevitable tax issues that require evaluation with an expertise that I do not claim to have. I attempt to keep abreast of tax matters, so that I can recognize these issues when they need to be recognized; but I will make a referral when it comes to analyzing the issues and deciding on a course that's driven by tax planning.

Land Use and Zoning
Prosecution of all felonies, misdemeanors, traffic and juvenile cases. In addition to duties as prosecutor for the State, county attorneys serve as county counselor to the Board of County Commissioners, which includes such matters as delinquent tax sales, zoning and land use, county contracts, resolutions, etc.

Personal Injury
CONTINGENCY FEE. In some cases, the fee is determined as a percentage of the amount actually recovered by the attorney for the client. If the client recovers nothing, there is no fee. Contingency fee arrangements are most often used in personal injury, malpractice cases, negligence, and debt collection cases. This office generally does not handle these types of cases (other than certain debt collection matters). Consequently, contingency fee arrangements are rarely utilized by this office.

Trusts and Estates

Wills
FLAT FEE. For certain legal matters, a fixed fee may agreed to in advance, regardless of the time actually spent. Simple wills are typically handled on this basis.
Trusts
I do not engage extensively in wills, trusts and probate matters. I prepare "simple" wills and trust instruments that do not require estate tax planning. Many of the probate proceedings I handle are done to cure defects in title to real estate or to oil and gas lease interests.
