Corporate Law
The attorneys in this group also assist employees outside of the litigation context. Our work in this area often involves the review, analysis and negotiation of employment agreements and related documents, such as stock option and deferred compensation awards and plans, carried interest plans, shareholder agreements and limited liability company operating agreements.
Business Disputes
Our commercial litigators represent both plaintiffs and defendants, primarily in New York’s state and federal courts, as well as in arbitrations typically conducted by the American Arbitration Association, JAMS and FINRA. We litigate all types of business-related issues, and our cases regularly involve claims of breach of contract and/or fiduciary duty, fraud, negligent misrepresentation, promissory estoppel, and professional liability. Many of our cases also involve claims between business partners, shareholders in closely-held corporations and members of limited liability companies (including intra-family business disputes).
Limited Liability Companies
Mr. Berger also has substantial experience successfully shepherding clients through what he describes as “non-matrimonial divorce” – matters involving the break-up of small corporations, limited liability companies and professional partnerships, as well as the protection of minority stockholder interests in restructuring and buy-out scenarios.

Employment Contract
Mr. Hone’s employment practice focuses on representing Wall Street bankers, high-level executives, professionals, and other employees who have non-competition, non-solicitation and a variety of other issues when they are in transition, either voluntarily or involuntarily, from one employer to another. In addition to advising employees, Mr. Hone also negotiates and prepares employment agreements, separation agreements, and other documents that are involved in such transitions.

Eminent Domain
Mr. Webb began his legal career as an Assistant Attorney General for the State of New York, where he focused on state appropriation litigation, representing various state agencies in eminent domain proceedings. Since then, he has represented both condemnors and condemnees in New York and various other states, including New Jersey, North Carolina, Florida, Illinois and Connecticut. In total, Mr. Webb has tried to completion more than 800 eminent domain matters in courts throughout the United States. For good reason, he is widely respected and viewed as a dean of the eminent domain bar in New York.
