Divorce
Guardianship
Statutory fees are charged in decedent’s estates. This means the fee is controlled by the Probate Code formula. Fees in conservatorships and guardianships, while not purely statutory, are subject to court approval. If the first interview proves that the case will fall into the statutory fee category, there is no charge for the initial interview. In all instances other than statutory fees and larger flat fee projects, we do charge for the first interview on an hourly basis, or fraction thereof.

Business and Corporate Law

Business Formation
Most of the firm’s services are based on hourly billing. In such cases the client receives a monthly billing statement. Some cases are flat fee such as estate planning and other areas where the time consumption is predictable. Some cases are handled on the basis of statutorily controlled fees and a few are handled on a contingent fee basis. It is important to resolve the billing arrangement at the first conference. There is a charge for the first conference if it is a one time only conference. There is a charge for the first conference if it develops into an hourly fee arrangement. There is no charge for the first conference in situations where the fees are controlled by statute or a contingent fee arrangement is agreed upon. The firm can supply fee estimates for most estate planning services and many business formation services.
Business Disputes
Limited Liability Companies
In the area of business, this office handles the formation and dissolution of all regular forms of business entities, including partnerships, limited partnerships, limited liability companies, limited liability partnerships, corporations (including C and S or Sub-S), statutory close corporations and other business entities. In addition, business includes all forms of litigation by and against such entities and among the owners of interests in such entities. We do some collection actions. We quote flat fees for all uncontested formation and dissolution work. All of the other work is handled on an hourly basis based on monthly statements.

Real Estate Litigation
The firm had its beginning September 1, 1969 when James Banks, Jr. and Joseph E. Johnston formed a partnership. About two years later J. Michael Welch joined the firm and shortly thereafter they adopted the firm name Banks, Johnston and Welch. During the first six years of the firm James Banks did divorce, business law, probate and estate planning, and real estate law. He dropped divorce work and in the late 1970’s was joined by Thomas B. Ritchie. Tom left to establish his own practice in 1991 and was replaced by Matthew O. Strathman. In 2006 Damian Garcia joined the firm, followed by Stephen P. Janis. Matt left the firm and the private practice of law in March, 2007.
Construction Litigation
Our real estate practice is limited to more unusual real estate problems. We have done many construction defect cases and have been involved in a number of disputes within homeowners’ associations. We have handled quite a few boundary dispute cases and several condemnation cases. We do relatively little landlord-tenant law and real estate sales / purchase transactions, except in the course of probate cases. We seldom prospectively review leases.

Personal Injury
Contingent fees are charged for some, selected litigation cases. Some will contests and similar cases are done on a contingent fee basis. When we accept a personal injury case, it is on a contingent fee basis. If we accept a case on a contingent fee basis, there are no hourly fee charges including no fee for the initial conference.

Trusts and Estates

Estate Planning
Primarily limited to three basic areas of law: estate planning (including probate, wills, and trusts), business, and real estate. In each of these areas the office does both transactional drafting and analysis and litigation.
Wills
Probate also involves various types of contests. Will contests, Trust contests, demands for accountings, objections to actions taken by executors, administrators, trustees and others are all proceedings which have been frequently handled by this office. To the extent this office may be said to have a specialty, it is probate litigation. Probate litigation is usually charged hourly but it is possible to work out contingent fee arrangements.
Trusts
The simplest trusts we write we call “probate avoidance trusts” because they have one main purpose: to avoid probate. The next level of complexity of trusts we write we call “family circumstances trusts” because they not only avoid probate, but they also contain what we call “hold back provisions” so that the ultimate beneficiaries of the trust do not receive distributions until certain milestones are reached (usually milestones are birthdays, sometimes they are a number of years after the settlor’s death).
Power of Attorney
In the area of estate planning, the firm does Wills, Trusts, Durable Powers of Attorney, Advance Directives (formerly called Declarations Under the Natural Death Act and Directive to Physicians) and other related documents.
Probate
Flat fees are charged for all estate planning work. There are a few probate services for which we can quote a flat fee. Standard procedures for work with corporations, partnerships and other entities can be done on a flat fee basis as long as we have a clear picture of the scope of the work at the beginning. We charge by the hour for the first appointment, but on larger projects we absorb it into the flat fee.
