Mergers and Acquisitions
We advise banks and financial institutions on mergers, acquisitions, branch purchases and sales, types of capital instruments, and the means to obtain debt, equity and bank stock loans. We are working with groups that are in the process of forming de novo banks. Our experienced mergers and acquisitions attorneys understand the issues pertaining to regulatory, corporate, securities and real estate in these transactions. Our attorneys have represented financial institutions in over 150 purchase and sale transactions in the course of their careers.

Steve is the firm’s primary trial attorney, having tried numerous court and jury trials throughout Southern California concerning disputes over real estate, business transactions, and wills and trusts. Employment Litigation
Austin is a licensed California attorney in our litigation department who has experience in a wide range of issues such as Real Estate, Construction, Business, and Employment litigation. Austin graduated from the University of Arizona in three years and was awarded the presidential scholarship, increasing in amounts each semester for academic excellence. Austin earned his Bachelor of Arts degree in Philosophy with a focus in Ethics, and a minor in Business Administration and was a member of Phi Alpha Delta law society. After deciding he had enough of the “dry heat,” Austin pursued his law degree at the University of San Diego School of Law. While in Law School, Austin competed nationally on the University of San Diego School of Law Mock Trial Team, was on the board of the Employment and Labor Law Society and won the organization of the year, was a research assistant to Professor Orly Lobel focusing on employee relations, worked at an employment law firm, and volunteered at the Legal Aid Society of San Diego. Before joining Spierer, Woodward, Corbalis & Goldberg, Austin was a commercial litigation associate at a boutique firm in Los Angeles and frequently counseled the indigent at the Legal Aid Society of San Diego. Austin has several years of litigation experience on both the Plaintiff and Defense sides.
Sexual Harassment
Steve is a frequent lecturer on various real estate subjects which include “Strategic and Tactical Use of the California Residential Real Estate Purchase Agreement by Realtors®,” “Avoiding Sexual Harassment Claims,” and “How to Practice Real Estate Without Getting Sued.” Steve has testified as an expert witness on issues related to the standard of care of attorneys and real estate brokers, agents, sellers, and buyers in real estate transactions ranging from simple to complex.
